GLOBY TERMS AND CONDITIONS

Welcome to the Terms and Conditions ("Terms") of Globy's B2B marketplace services and website (the "Globy Services" "B2B Marketplace") that enables users to discover each other, publish listings, obtain contact details and communicate directly about potential transactions. The Globy Services are owned and operated by Globy, Inc. (herein as "Globy").

By using the website and Globy Services, you agree to be bound by these Terms. Your agreement will be established when you tick "I Agree" on the registration page. If you do not agree to these Terms, please discontinue your use and refrain from our website immediately.

In these Terms, the words "website" and "platform", refer to Globy's website at http://globy.com. The words "we", "us", and "our" refer to Globy. The words "you", "your", and "user" refer to you, the user of Globy (as Supplier, or Buyer).

If you use the Globy Services as a representative of an organization, you represent and warrant that you have authority from the organization to act on its behalf. By using the Globy Services on behalf of an organization, you warrant that you have the capacity to bind the organization to these Terms.

1. ELIGIBILITY

You represent and warrant that you meet the below criteria before using the Globy Services:

  • You are at least 13 years of age;
  • Your use of the Globy Services does not and will not violate any applicable laws or regulations, sanctions, export control rules or other legal restrictions in any jurisdiction that is relevant to you, your organisation, your counterparties or your transactions;
  • You have not been previously barred from using the Globy Services, and Globy has not otherwise prohibited you from opening or maintaining an account;
  • You are able to form an agreement; and
  • You have the full right, power, and authority to enter into these Terms as an agreement and to perform your obligations under them, including, where you act on behalf of a company or other legal entity, that you are duly authorised to bind that entity to these Terms.

If you use the Globy Services on behalf of a company or other legal entity, you represent and warrant that: (a) the entity on whose behalf you act meets all eligibility criteria set out in this Section 1; and (b) you accept these Terms both in your own name and on behalf of that entity, and all references to "you" and "user" in these Terms shall be deemed to refer to both you personally and such entity.

You further represent and warrant that neither you, nor any entity that you represent, nor any of your or its directors, officers, ultimate beneficial owners or authorised users: (a) are listed on, or owned or controlled by any person listed on, any applicable sanctions or denied parties list; or (b) are located in, organised under the laws of, or ordinarily resident in any country or territory that is subject to comprehensive trade or financial sanctions under laws applicable to Globy, and that you will immediately cease using the Globy Services if this ceases to be true.

Globy may, in its sole discretion, refuse to offer the Globy Services to any user and change its eligibility criteria at any time. This provision is void where prohibited by law and the right to access the Globy Services is revoked in such jurisdictions. Any such decision by Globy shall not give rise to any liability of Globy to you.

Globy acts solely as an online platform that enables users to publish listings and communicate and provides tools to showcase, and promote user's businesses and products. Globy is not a buyer, seller, broker, agent, carrier, freight forwarder, insurer or escrow agent in respect of any transaction between users, and does not hold, own or deliver any goods listed on the platform, except where expressly stated in separate terms (if any).

2. SUPPLIERS

2.1. Publications in the B2B Marketplace

By posting a product on the B2B Marketplace, you, as the Supplier, are solely and entirely responsible for ensuring that all information provided is accurate, complete, and up-to-date and not misleading in any respect. This includes, but is not limited to, detailed product descriptions, prices, terms and conditions of sale, as well as any relevant information related to shipping and warranty and any applicable taxes, duties, customs, export/import restrictions, mandatory product certifications, labels, safety instructions and legal disclaimers required under applicable law.

You are solely responsible for managing all transactions originating through your B2B Marketplace postings, including billing, collection, and shipping logistics. All negotiations, contracts, payments, shipments and other arrangements are concluded directly between you and the relevant Buyer or other third parties. Globy is not a party to, and shall have no responsibility or liability for, any such negotiations, contracts or transactions, whether or not they were initiated via B2B Marketplace. Our website does not intervene, mediate, guarantee or enforce any transactions or agreements reached between Suppliers and Buyers.

You warrant that the products offered and any related packaging, labelling, documentation and advertising meet the relevant quality and safety standards and all other applicable legal and regulatory requirements in every jurisdiction relevant to the manufacture, export, import, storage, marketing, sale and use of such products, and are true to the descriptions provided in your literature and listings on the B2B Marketplace. Any claims arising from discrepancies in product quality or specification or from the illegality, non-compliance, unsafe nature, mislabelling or misdescription of any products shall be your sole responsibility and shall be borne exclusively by you, and you agree that Globy shall have no responsibility or liability in relation to any such claims. You are solely responsible for obtaining and maintaining all licences, permits, registrations and approvals that may be required for the manufacture, export, import, distribution or sale of the products you list.

You acknowledge and agree that Globy does not own, manufacture, store, test, inspect, handle, ship, deliver, import, export or otherwise take possession of any products listed on the B2B Marketplace, does not verify or endorse any listings, Suppliers or products, and does not make any representations or warranties regarding the existence, availability, quality, safety, legality, compliance, title or fitness for purpose of any such products. The inclusion of any product or Supplier in search results, directories, recommendations or other features of the B2B Marketplace does not constitute an endorsement or guarantee by Globy.

We reserve the right to modify, review, moderate, refuse, or remove, in whole or in part, any postings on the B2B Marketplace at any time, with or without prior notice, at our sole discretion and without any liability to you, that we deem inappropriate, misleading, or in violation of these Terms. This includes, but is not limited to, postings that contain incorrect information, misleading advertising, or that infringe third-party rights or that we reasonably believe may be illegal, unsafe, non-compliant, fraudulent or otherwise harmful to Globy, other users or third parties.

2.2. User Content

You may provide and upload content and information through the platform. You retain any copyright or other rights you may have in the content and information you provide through the platform. Globy is not responsible for the accuracy, safety, or legality of the content posted on the platform by Suppliers. Globy may but is not obligated to review, moderate, or remove User Content (including product listings) before and/or after publication in accordance with its internal policies and these Terms. Any such review or moderation is performed solely for Globy's internal purposes and does not constitute endorsement, verification, certification, or a guarantee as to the accuracy, safety, quality, legality, or compliance of any User Content, listing, product, or Supplier. The Supplier is solely and exclusively responsible for its content and the consequences of its publication and any use or reliance placed on it by third parties. By providing content and information through the platform, you hereby grant Globy a worldwide, non-exclusive, royalty-free, fully paid-up, transferable and sublicensable right and license to host, store, transfer, perform, reproduce, adapt, translate, reformat, distribute, publicly display and publicly perform, and modify the content and to create derivative works from it, for the sole purpose of operating, providing, protecting, marketing and improving the Globy Services, displaying it within the platform and making it available to other users and, where applicable, to the general public, as well as for backup, archiving, dispute-resolution, security, analytics and legal-compliance purposes. To the maximum extent permitted by applicable law, you waive and agree not to assert any moral rights or similar rights you may have in relation to such user content vis-a-vis Globy and its affiliates.

By providing and uploading content through the platform, you affirm, represent, and warrant that:

  • You are the owner of the content you provide through the platform or have the necessary licenses, rights, consents, and permissions to authorize Globy to publish and display your content through the platform and to grant the licence set out above.
  • Your user content and the use of your user content as contemplated by these Terms does not and will not (i) infringe, violate or misappropriate any third-party right, including any copyright, trademark, patent, trade secret, moral right, right of privacy, right of publicity, or any other intellectual property or proprietary right; (ii) libels, defames, slanders, libels, or otherwise unlawfully invades the right of privacy, publicity, or other proprietary rights of any other person; or (iii) causes Globy to violate any law or regulation or to be regarded as offering, marketing, selling, importing, exporting or otherwise dealing in any goods or services referenced in your user content.
  • Your content could not be considered by a reasonable person to be objectionable, profane, indecent, pornographic, harassing, threatening, embarrassing, hateful, or otherwise inappropriate.
  • Your content may not contain gambling, games, or contests based on chance.
  • Your content does not and will not contain hateful content, threat of physical harm, or harassment.
  • Your content, including any descriptions or images of goods, cargo or services, is accurate, complete and not misleading, and complies with all applicable laws, regulations, industry standards and third-party rights in every jurisdiction relevant to the manufacture, export, import, storage, marketing, sale and use of such goods, cargo or services.
  • You will not upload, post or share through the platform any personal data or confidential information of third parties unless you have a valid legal basis, all necessary consents and have complied with all applicable data protection and privacy laws in relation to such processing.

2.3. Monitoring of Content

You acknowledge and agree that Globy may, but is not obliged to, monitor, review, filter, refuse, block, edit or remove any user content at any time, with or without notice, at its sole discretion and without any liability to you, including where Globy reasonably believes that such user content may be unlawful, misleading, harmful, infringing, offensive or otherwise in breach of these Terms. Globy's decision not to remove any particular user content shall not be construed as an approval of, or assumption of responsibility for, such user content.

3. BUYERS

3.1 Contact with Suppliers

Buyers interested in a product posted by a Supplier can initiate contact by clicking the 'Send message' button on the listing. This feature enables direct communication between the Buyer and Supplier to discuss details, negotiate terms, and explore potential transactions entirely at their own discretion and risk.

Buyers are expected to use this feature responsibly and with genuine intent. All communications should be professional and focused on obtaining more information about the product or facilitating a purchase. Misuse of this feature, including sending unsolicited messages or using the contact for non-commercial purposes, is strictly prohibited and may result in suspension or termination of your access to the Globy Services at our sole discretion, without any liability to you.

You acknowledge and agree that the 'Send message' feature and any other communication tools provided through the platform merely facilitate the initial exchange of information between Buyers and Suppliers. Globy does not and will not participate in, monitor in real time, or become a party to any negotiations, offers, acceptances, contracts, payments, shipments or other arrangements between Buyers and Suppliers, whether initiated through the platform or continued outside of it. Globy does not represent, warrant or guarantee that any Supplier will respond, agree to any terms, enter into any transaction or perform any obligation towards you.

Globy acts solely as a facilitator of these connections and does not participate in any negotiations or transactions resulting from the interaction. Buyers solely and exclusively bear full responsibility for verifying all relevant information, such as terms of sale, warranties, shipping costs, and product specifications, the existence, quantity, condition, legality, compliance and ownership of any goods or cargo, the identity, authority and reliability of the Supplier, and any other facts or documents that may be relevant to their decision to enter into a transaction, before committing to any transaction. Globy does not perform any due diligence on your behalf and does not provide legal, tax, customs, regulatory or risk advice. You should obtain independent professional advice where appropriate.

If disputes arise, Buyers and Suppliers are encouraged to resolve issues directly. The website does not mediate or intervene in such disputes and is not responsible for the accuracy of Supplier-provided information, product quality, or delivery outcomes. Globy has no obligation to assist in, participate in or resolve any disputes between Buyers and Suppliers, and any information, logs or records that Globy may, at its discretion, choose to share with you in connection with a dispute are provided "as is" without any warranty and without assuming any responsibility or liability for the underlying transaction, goods or conduct of any party. Nothing in this Section shall be construed as creating any duty for Globy to monitor or police communications or transactions between users.

3.2 Sourcing Request (RFQ)

The Sourcing Request (RFQ) tool helps Buyers connect with Suppliers who can fulfill specific product needs. By submitting an RFQ, Buyers gain access to a global network of Suppliers, increasing the likelihood of receiving multiple offers quickly and efficiently. However, Globy does not guarantee that any Supplier will respond to an RFQ, that any particular number of responses will be received, or that any transaction will result from an RFQ. The content of each RFQ is created solely by the Buyer, and Globy does not control, verify or endorse any RFQ.

Once posted, an RFQ is shared with registered Suppliers and remains visible to others on the platform until withdrawn by the Buyer or removed by Globy in its sole discretion. Buyers are encouraged to provide detailed and accurate information in their RFQs, including product specifications, quantities, delivery timelines, and other relevant criteria, to receive appropriate responses. You acknowledge and agree that each RFQ is an invitation to Suppliers to submit non-binding proposals only and does not itself constitute a binding offer, acceptance, commitment to purchase or any obligation on Globy, any Supplier or any other user to enter into a transaction. Buyers remain solely responsible for ensuring that their RFQs are lawful, accurate, not misleading and compliant with all applicable laws and third-party rights.

Globy serves as a facilitator, not a participant, in any transactions or negotiations stemming from RFQs. Buyers are fully responsible for evaluating proposals, verifying Supplier credentials, and negotiating terms. Any agreements or arrangements are made directly between the Buyer and the Supplier, outside of the Globy Services and entirely at the parties' own risk and expense. Globy is not, and shall not be deemed to be, a buyer, seller, broker, agent, importer, exporter, carrier, insurer, guarantor, escrow agent or other contracting party in respect of any transaction arising out of or in connection with any RFQ.

While Globy strives to maintain a reliable Supplier directory, we do not guarantee the accuracy of information or the performance of Suppliers. Buyers should exercise due diligence and verify all critical details before entering into any agreements. Any inclusion of a Supplier in the RFQ responses, search results, directories, recommendations or other features of the platform does not constitute an endorsement, recommendation or guarantee by Globy of that Supplier, its products, services, qualifications, solvency or compliance. Globy does not conduct any independent audits or verification of Suppliers unless explicitly stated otherwise.

Globy is not liable for any losses, damages, or disputes arising from the use of the Sourcing Request tool, including issues with Supplier performance, unmet needs, or failed transactions, to the maximum extent permitted by applicable law. Without limiting the generality of the limitation of liability set out in Section 16, Globy shall have no responsibility or liability for any proposals submitted (or not submitted) in response to an RFQ, for any negotiations or contracts between Buyers and Suppliers, or for any non-delivery, misdelivery, delay, loss, damage, non-conformity, illegality or non-compliance of any goods or services sourced via an RFQ.

4. USER ACCOUNT

If you register with Globy, you will be asked to choose a password and you may be asked for additional information about your account according to the registration form available on the platform. You are responsible for maintaining the confidentiality of your password and account information and are fully responsible for all activities that occur under your password or account. You agree to immediately notify Globy of any unauthorized use of your password or account or any other security breach and to take all reasonable steps to secure your account (including changing your password and reviewing recent activity).

You agree that you will: (a) provide true, accurate, current and complete information when creating and maintaining your account; (b) keep such information up to date at all times; and (c) not create an account using a false identity or on behalf of any person or entity without proper authority.

You are prohibited from assigning, transferring, or licensing your account to a third party without written authorization from Globy. You must not share your login credentials with any other person or allow any third party to access or use your account, except for duly authorised personnel within your organisation acting on your behalf. You acknowledge and agree that Globy is entitled to treat all activities carried out through your account as having been authorised by you and your organisation. Globy will not be liable for any loss or damage arising from your failure to comply with these responsibilities and you will indemnify Globy against any claims, losses or damages arising out of or relating to any use of your account by any person who obtained access to it through your acts or omissions.

You may terminate your account at any time and for any reason through the account settings or by sending us your request through our contact information. Such termination will only result in the deletion of the account and your personal data provided to Globy.

Globy reserves the right to terminate your account or your access immediately, with or without notice, and without liability to you, if Globy believes that you have violated any of these Terms.

5. PERSONAL DATA AND PRIVACY

Any personal information you submit in connection with the Globy Services and use of the website, including registration, listing, verification, and use of our forms, will be used in accordance with our privacy policy. Please review our privacy policy to understand the information we collect, why, and other information regarding your privacy. You must agree to our privacy policy along with these Terms. By using the Globy Services, you agree to our privacy policy. If you do not agree to our privacy policy, your only option is to discontinue your use of the Globy Services.

6. UNCLAIMED CARGO

Unclaimed Cargo listed on our website directory refers to merchandise that, for various reasons, has not been picked up or has been rejected by the original consignee. Such cargo is not damaged, broken, or expired, and its unclaimed status arises due to specific circumstances. Shippers offering this cargo in our directory possess the legal authority to resell it to new buyers. For the avoidance of doubt, listings of Unclaimed Cargo are user listings and remain the sole responsibility of the relevant Suppliers, in the same way as any other listings on the platform. Nothing in this Section 6 changes Globy's general role as a marketplace facilitator in respect of transactions between users.

6.1 Globy's Role:

The directory serves as a platform where shippers can showcase unclaimed cargo, providing a practical and economical solution for managing such merchandise. These offerings are often presented at attractive discounts to facilitate their acquisition. Interested Buyers should contact the Supplier directly to obtain details and negotiate purchase terms.

Please note that Globy, through its website, acts solely as a facilitator, connecting Suppliers and Buyers. We do not intervene in negotiations or transactions and are not responsible for their outcomes. Users should conduct their due diligence when evaluating unclaimed cargo offers. Globy does not own, possess, inspect, test, store, ship or deliver Unclaimed Cargo listed by users, does not verify or endorse any such listings, and does not provide any representations or warranties regarding the existence, quality, safety, legality, compliance, title, condition or fitness for purpose of any Unclaimed Cargo. All contracts, rights and obligations relating to Unclaimed Cargo listed in the directory arise directly and exclusively between the relevant Supplier and Buyer, and not with Globy.

6.2 Buyer Notification:

For users who do not find a suitable offer at a given time, the option to register on our platform is available. Registered users will receive email notifications when new offers that may align with their interests or needs are published. Such notifications are provided for information purposes only and do not constitute recommendations, endorsements, offers or guarantees by Globy in respect of any particular Unclaimed Cargo, Supplier or transaction.

6.3 Buyback Option:

To Supplier of Unclaimed Cargo, Globy may, from time to time and at its sole discretion, be willing to purchase the cargo under the following conditions:

(a) Nature of this option. The "buyback" mechanism described in this Section 6.3 is an optional facility and does not create any automatic or unconditional obligation for Globy to purchase any Unclaimed Cargo. The conditions set out below describe when Globy may, at its sole discretion, consider buying Unclaimed Cargo, but no Supplier shall have any right to require Globy to purchase Unclaimed Cargo, even if all such conditions appear to be satisfied. A binding obligation for Globy to purchase specific Unclaimed Cargo arises only when Globy sends a clear written confirmation (including by email or through the platform) expressly stating that Globy agrees to purchase that specific Unclaimed Cargo on specified terms ("Buyback Confirmation"). Until such Buyback Confirmation is issued, no contract of sale exists between Globy and the Supplier in respect of that Unclaimed Cargo.

(b) Indicative conditions. If Globy decides to issue a Buyback Confirmation for certain Unclaimed Cargo, Globy may, as an indicative commercial approach and subject to its Buyback Confirmation:

If the Unclaimed Cargo remains unsold after three weeks of listing on Globy's unclaimed cargo directory, we may, but are not obliged to, propose to purchase it for up to 90% of the contract price stated in the initial sale.

The Unclaimed Cargo must be in good, saleable condition and not damaged or spoiled. This condition must be verified by an SGS company survey report.

All demurrage, storage fees, and other penalties must be paid by the Supplier at the time of the buyback.

6.4 Document Adjustment and Additional Fees:

Within three days of Globy's Buyback Confirmation, the Supplier must reissue the accompanying documents to reflect Globy as the new owner. The Supplier must also pay any storage fees and penalties covering an additional two weeks. Globy's obligation to pay any buyback price is conditional upon (i) receipt by Globy of all correctly reissued documents and (ii) settlement by the Supplier of all demurrage, storage and other penalties as specified or referenced in the Buyback Confirmation.

6.5 Transfer of Responsibility:

Once the above conditions are met, the responsibility for the sale of the Unclaimed Cargo transfers to Globy. More specifically, title to and risk in the relevant Unclaimed Cargo shall pass from the Supplier to Globy at the moment expressly specified in the Buyback Confirmation or, if no such moment is specified, upon Globy's actual receipt (or the receipt by Globy's designated warehouse or carrier) of the Unclaimed Cargo in good, saleable condition. From that moment, Globy may, at its sole discretion, resell, store, donate, scrap or otherwise dispose of that specific cargo on such terms as it deems appropriate. Any such subsequent sale or disposition by Globy is carried out by Globy as principal in respect of that specific lot of Unclaimed Cargo only and does not affect or alter Globy's marketplace role for any other listings, goods or transactions on the platform.

6.6 Exclusions:

Certain goods are not eligible for buyback, including dangerous goods and perishable items. The storage period at the time of transfer must also be at least six months before the Unclaimed Cargo's expiration date. Globy may, at its sole discretion, specify additional categories of goods, locations, volumes, conditions or circumstances in which buyback will not be available. Globy is not obliged to disclose the reasons for deeming any particular Unclaimed Cargo ineligible for buyback.

6.7 Right to Refuse Purchase:

We reserve the right to decline the purchase of any unclaimed cargo. In such cases, we will continue to advertise its sale on our platform. Globy's refusal or failure to issue a Buyback Confirmation or to proceed with a buyback in respect of any Unclaimed Cargo shall not give rise to any liability, compensation or claim against Globy by any Supplier, Buyer or other party, regardless of whether the conditions described in this Section 6 appear to be satisfied.

6.8 Disclaimer:

While we strive to ensure that the information in the directory is accurate and current, we do not guarantee the truthfulness, accuracy, or quality of the posted offers. Users agree that any transactions resulting from contact established through our directory are their sole responsibility. The website and its operators are not liable for the quality, safety, legality of the unclaimed cargo, or the ability of the Supplier or Buyer to complete the transaction. To the maximum extent permitted by applicable law and without prejudice to Sections 15 and 16 of these Terms, Globy disclaims any and all responsibility and liability arising out of or in connection with (i) any listings, negotiations, offers, acceptances or transactions relating to Unclaimed Cargo between users; and (ii) any decision by Globy to issue or not to issue a Buyback Confirmation, to proceed or not to proceed with a buyback, or to resell or otherwise dispose of any Unclaimed Cargo that it has purchased. Nothing in this Section 6 excludes or limits any liability that cannot be excluded or limited under applicable mandatory law.

7. LOGISTIC TOOLS

Globy provides various logistics tools, including Quick Logistics (freight calculator) and the Load Calculator and Container Shipping Costs pages (collectively, the "Logistics Tools"), to assist users in planning and optimizing freight and cargo arrangements. These Logistics Tools offer estimates for freight rates and cargo space optimization based on the information provided by users.

Any rates, prices, "from" prices, quotes, transit times, capacity or load results, recommendations or similar outputs generated or displayed through the Logistics Tools are provided for informational purposes only and are based on current market data or user-inputted information. They are not binding offers or contracts, and actual rates or space availability may vary due to market fluctuations, carrier changes, or other logistical factors.

Estimates may be based on (i) information provided by users; (ii) information provided by independent carriers, forwarders, logistics providers or other third parties; and/or (iii) publicly available market information. Such information may be incomplete, inaccurate, outdated, or changed at any time. Globy does not guarantee that any estimate generated or displayed through the Logistics Tools is accurate, complete, current, or error-free and is under no obligation to monitor, verify, correct, or update any estimates or underlying data.

The output of the Logistics Tools does not constitute (i) a transport, freight forwarding, brokerage, customs, warehousing or insurance service; (ii) a commitment by Globy or any carrier or service provider to accept or perform any shipment; or (iii) a guarantee that any particular route, mode of transport, transit time, capacity, tariff, surcharge or service level will be available to you. Any subsequent booking or transport arrangement is subject to separate terms agreed directly between you and the relevant carrier, forwarder or service provider. Users are encouraged to verify estimates and results with qualified professionals before making any decisions.

By using these Logistic Tools, users agree to provide accurate and complete information. You acknowledge that any inaccuracy, omission or misclassification in the information you provide may render the estimates unreliable or invalid and may result in additional charges, refusals by carriers, delays, customs issues, fines or other adverse consequences for which Globy is not responsible. Globy is under no obligation to verify, correct or supplement the information you input into the Logistics Tools.

Load Calculator results are illustrative only and may not account for operational or regulatory constraints (including weight distribution, axle limits, securing/lashing requirements, stacking limits, container condition, cargo fragility, dangerous goods restrictions, temperature control, local safety rules, or carrier-specific requirements). You are solely responsible for validating any load plan with qualified professionals and applicable requirements before use.

Globy is not responsible for any decisions made based on the estimates or results provided, and users assume full responsibility for the use of the Logistic Tools. The Logistics Tools and all related outputs are provided "as is", "as available" and "with all faults", without any warranties of accuracy, completeness, timeliness, suitability or fitness for a particular purpose. Globy does not provide legal, tax, customs, export control or regulatory advice through the Logistics Tools, and you should obtain independent professional advice before relying on any estimate for contractual, operational or compliance purposes.

Globy disclaims any liability for loss, damage, or inconvenience resulting from reliance on the Logistics Tools to the maximum extent permitted by applicable law, and the general limitations of liability set out in Section 16 apply in full to your use of the Logistic Tools. Without limitation, Globy shall not be liable for any additional freight charges, demurrage, detention, storage, customs duties, penalties, service failures or other costs or losses arising out of or in connection with your use of or reliance on any estimates or results generated by the Logistics Tools. The Logistics Tools are intended solely for logistics planning and may not be used for unlawful or unauthorized purposes.

8. SUPPLIER VERIFICATION

To enhance trust and transparency within our platform, we may offer Suppliers the option to obtain a Verified Supplier Badge. This badge is designed to assure Buyers by highlighting Suppliers who meet our platform's verification criteria. Participation in the verification programme is entirely optional and subject to Globy's sole discretion. Globy may modify, suspend or discontinue the verification programme or its criteria at any time without prior notice and without any liability.

8.1 For Suppliers:

Suppliers can apply for the Verified Supplier Badge by completing our verification process, which may include, without limitation:

  • Submitting valid business registration documents or personal identification.
  • Providing proof of the ability to legally sell and transfer ownership of the listed items/cargo.
  • Demonstrating a history of reliable and compliant transactions, if applicable.
  • Undergoing checks against sanctions, watchlists, adverse media or other risk indicators, using internal and/or third-party data sources.

By obtaining a Verified Supplier Badge, you signal to potential Buyers that you are a trustworthy and credible Supplier, which can increase the visibility and attractiveness of your listings. However, you acknowledge and agree that the scope of verification is limited to the specific checks that Globy or its service providers decide to perform at a particular point in time, based on the information and documents made available, and does not constitute a comprehensive audit, due diligence or certification of your business, financial standing, compliance status or the goods you list.

You represent and warrant that all information and documents you submit for verification are true, accurate, current and complete, and that you will promptly update such information and notify Globy of any changes that may affect your eligibility (including changes in ownership, licences, business status, sanctions status or legal capacity to sell the goods you list). You remain solely responsible for your compliance with all applicable laws and regulations, and the Verified Supplier Badge does not relieve you of any obligations or liabilities towards Buyers, authorities or third parties.

Please note, however, that the Verified Supplier Badge does not constitute an endorsement or guarantee by Globy of the quality, legality, or condition of your cargo/items, your actual identity or beneficial ownership, your solvency, your performance under any contract, or your ongoing compliance with applicable laws or platform policies, and that we may revoke, at our discretion, if there is evidence of fraudulent activity, non-compliance with platform policies, or failure to maintain accurate and truthful information, or if we otherwise consider it appropriate to protect the Globy Services, other users or third parties. You acknowledge that you have no vested right to obtain, maintain or regain a Verified Supplier Badge, and Globy shall not be liable for any loss of business, reputation or opportunities resulting from a refusal, suspension or revocation of the badge.

We use Vespia, an independent third-party service provider, to perform identity screening and verification checks through our verification flow. Vespia may run automated checks and risk pre-assessments; however, the final decision on whether a person or entity is approved or verified remains with Globy. For verification data submitted through our flow, Globy acts as the data controller and Vespia processes such data on Globy's instructions. To the maximum extent permitted by applicable law, Globy is not liable for third-party data inaccuracies or temporary unavailability or failures of Vespia's services or underlying public registries.

8.2 For Buyers:

A Verified Supplier Badge simply indicates that the Supplier has undergone our verification process, giving you an added layer of confidence when engaging in transactions. The verification is limited in scope and time and is based on information, documents and external data sources that may be incomplete or subject to change. Globy does not guarantee that a verified Supplier remains in good standing, solvent, legally compliant or authorised to sell specific goods at the time of your transaction.

Important Considerations:

  • The Verified Supplier Badge is not a guarantee of the condition or quality of the cargo/items or the Supplier's ability to complete the sale. You should still perform your own due diligence before completing a purchase.
  • The Verified Supplier Badge is not a recommendation, endorsement, warranty, insurance, guarantee of performance or credit rating by Globy. It must not be relied upon as a substitute for your own risk assessment, legal, tax, customs or compliance checks.
  • Contacting and negotiating with Suppliers, whether verified or not, is done at your own discretion and responsibility.
  • The Verified Supplier Badge aims to foster a more secure and reliable environment for both Suppliers and Buyers, ensuring smoother and more trustworthy transactions. However, Globy shall not be responsible or liable for any acts, omissions, misrepresentations, non-performance, fraud, illegality or non-compliance by any verified Supplier, or for any losses or disputes arising from your reliance on the Verified Supplier Badge, to the maximum extent permitted by applicable law. The general limitations of liability and disclaimers set out in Sections 15 and 16 apply in full to the Supplier verification programme.

9. PAYMENT TERMS FOR SALE BANNER ADS

Suppliers have the option to promote their listings by purchasing the Sale Banner Ad available on a monthly, quarterly, or yearly basis. The following terms govern payments for these advertisement packages and apply solely to the paid advertising services provided by Globy, and not to any transactions between Suppliers and Buyers for goods or cargo:

9.1 Payment processing:

All payments for Sale Banner ads are processed securely through Stripe, our payment service provider. Payments are completed directly on Stripe's payment page. By proceeding with payment, you agree to Stripe's terms and conditions, including any applicable fees or policies set by Stripe. You also authorize us to charge you the applicable amount as displayed on the payment page. You hereby warrant that you have the authority to use the selected payment method and that it contains sufficient funds to pay for the package you have selected. You acknowledge and agree that Stripe is an independent third-party service provider and that Globy is not responsible for, and shall not be liable for, any errors, delays, declines, chargebacks, currency conversion fees, bank charges or other issues arising from Stripe's or your bank's processing of your payment, except to the extent required by mandatory law. Any payment-related disputes shall primarily be resolved between you, Stripe and/or your payment provider.

You are responsible for all taxes, charges and fees applicable to your purchase of Sale Banner ads under the laws of any relevant jurisdiction, except for taxes assessed on Globy's income.

9.2 Payment obligations:

Payment for the selected package must be made in full at the time of purchase. Partial or installment payments are not accepted. Payments are non-refundable unless otherwise required by applicable law. In particular, you shall not be entitled to any refund, credit or set-off in the event of (i) lower-than-expected impressions, clicks or conversions; (ii) changes in your business or marketing strategy; (iii) your decision to stop using the Sale Banner Ad before the end of the purchased period; or (iv) suspension or removal of your banner or account due to your breach of these Terms or applicable law.

9.3 Advertisement Activation:

Sale Banner ads will only be activated once the payment has been successfully processed and confirmed by Stripe. Packages begin on the activation date and will remain active for the duration of the selected period (monthly, quarterly, or yearly).

9.4 Renewals and Expirations:

Advertisements do not automatically renew. Suppliers must manually renew their advertisement packages upon expiration to continue displaying their Sale Banners. Failure to renew before the package's expiration will result in the removal of the advertisement from the platform. Globy is under no obligation to notify you of upcoming expirations, although we may send courtesy reminders.

Globy reserves the right to change the pricing, features, formats, placement or availability of Sale Banner ads at any time, including between your campaigns. Any such changes will not affect packages already purchased and activated, but may apply to future purchases or renewals. Globy does not guarantee any minimum number of impressions, clicks, views, rankings, positions in search results or any particular business outcome from the purchase of Sale Banner ads, and you acknowledge that your purchase relates solely to the opportunity for increased visibility, not to any specific performance metrics.

10. TRANSACTIONS BETWEEN USERS

Transactions between users (Suppliers and Buyers), including payments, are conducted entirely off the website. Globy does not collect, process, or mediate payments between Buyers and Suppliers. All negotiations, payment arrangements, and terms of sale are the sole responsibility of the parties involved. Users must independently verify and confirm payment before exchanging goods or services. Globy acts solely as a platform for connecting users and does not oversee or guarantee the completion of transactions. We disclaim any liability for disputes, non-payment, fraud, or other issues arising from offline transactions. Users are advised to exercise caution and conduct due diligence.

Nothing in this Section 10 affects or limits the separate payment obligations of Suppliers towards Globy in respect of advertising services or other paid services expressly provided by Globy, which are governed by Section 9 and other applicable provisions of these Terms.

All commercial transactions for goods or cargo between users (including orders, payments, refunds, chargebacks, credits and settlements) are concluded entirely outside of the Globy Services, via channels and methods chosen by the users (such as bank transfers, letters of credit, third-party payment providers, or other arrangements). Globy does not open, hold, operate or control any payment accounts, escrow accounts or client money accounts for users, does not collect or hold funds on behalf of any user, and does not receive any purchase price, deposits or other amounts in respect of goods or cargo sold between users.

Globy is not a payment service provider, bank, money transmitter, escrow agent, marketplace facilitator for tax purposes or financial institution in relation to transactions between users. Globy does not provide, and must not be relied upon as providing, due diligence, KYC/AML screening, legal review, creditworthiness assessment, insurance, guarantees or any form of risk protection for transactions between users.

11. CHAT AND MESSAGING

The platform contains chat areas or messaging services to enable communication between users. The user may only use the chat or messaging service to send and receive messages that are relevant and specific to the purposes of the platform, namely to discuss listings, RFQs, potential transactions and other legitimate B2B activities directly related to the Globy Services. The user may NOT use the chat or messaging service available on the platform to perform any of the following actions:

  • Send messages that are defamatory, violent, profane, harassing, obscene, threatening, or messages that otherwise violate the legal rights of users or third parties, including Globy staff.
  • Send messages of a sexual or pornographic nature.
  • Send messages that promote illegal activities.
  • Conduct or forward surveys, contests, pyramid schemes, or chain letters.
  • Impersonate another person or user or allow any other person or entity to use your account to send messages or otherwise use your account.
  • Repeatedly send the same message. Spamming is strictly prohibited.
  • Imply or assert that any statement you make is endorsed by Globy, without Globy's prior written consent.
  • Send offensive and/or harmful messages, including, but not limited to, content that advocates, supports, condones, or promotes racism, bigotry, hatred, or physical harm of any kind against any individual or group of individuals.
  • Use the platform to collect personal data from users.
  • Send or upload any malicious code, phishing links, or other content intended to harm, disrupt or gain unauthorised access to systems, accounts or data.
  • Use the chat or messaging service to send unsolicited commercial communications or marketing messages that are not directly related to a specific listing or RFQ, or that would violate applicable anti-spam or data protection laws.
  • Share or request sensitive personal data (such as passport details, payment card numbers or bank credentials) unless strictly necessary and in compliance with applicable data protection and security requirements.

Any breach or violation of the provisions contained in these terms may result in the suspension of the offending user's account, with or without notice and without the right to compensation.

12. PROHIBITED ACTIVITIES

12.1. Prohibited use of the Globy Services.

The following activities are prohibited on or in connection with the Globy Services in addition to any other restrictions set out in these Terms:

  • Accessing, monitoring, reproducing, distributing, transmitting, broadcasting, displaying, selling, licensing, copying, or otherwise exploiting any content of the Globy Services, including but not limited to, using any robot, spider, scraper, or other automated means or any manual process for any purpose not in accordance with these Terms or without our express written permission from Globy.
  • Violating the restrictions in any robot exclusion headers on the Globy Services or bypassing or circumventing other measures employed to prevent or limit access to the Globy Services.
  • Taking any action that imposes, or may impose, at our discretion, an unreasonable or disproportionately large load on our infrastructure.
  • Deep-linking to any portion of the website for any purpose without our express written permission.
  • "Framing", "mirroring," or otherwise incorporating any part of the website into any other websites or services without our prior written authorization.
  • Attempting to modify, translate, adapt, edit, decompile, disassemble, or reverse engineer any software programs used by Globy in connection with the Globy Services.
  • Circumventing, disabling, or otherwise interfering with security-related features of the website or features that prevent or restrict the use or copying of any content.
  • Downloading any content unless it's expressly made available for download by Globy.
  • Using the Globy Services to develop, train or improve any product or service that competes with or replicates the Globy Services, including by scraping or systematically collecting data from the platform.
  • Using the Globy Services in any manner that is intended to circumvent or evade applicable sanctions, export controls, customs regulations, tax obligations or other regulatory requirements.

12.2. Prohibited and restricted goods and services.

Users are strictly prohibited from listing, requesting, shipping, advertising or otherwise transacting in any goods or services that are illegal, restricted, controlled, unsafe, non-compliant or otherwise prohibited under any laws or regulations that may apply to the transaction, the goods or the parties involved, including without limitation:

  • Weapons, ammunition, explosives, military or dual-use items, or any related equipment subject to export control or special licensing.
  • Narcotics, controlled substances, drug paraphernalia and any precursor chemicals.
  • Counterfeit, stolen or misappropriated goods, or goods that infringe any intellectual property rights, including trademarks, copyrights, patents or trade secrets.
  • Hazardous materials, dangerous goods, waste and substances subject to special handling, packaging or transport restrictions.
  • Consumer products (including food, cosmetics, pharmaceuticals, electronics or toys) that lack the approvals, certifications, labelling or safety information required under applicable law in the country of sale, export, import or use.
  • Goods or services involving sanctions targets, parties listed on any applicable sanctions or denied persons lists, or countries or territories subject to comprehensive trade or financial sanctions.
  • Any goods or services which, under applicable law, may only be offered, sold or intermediated by duly licensed or authorised entities (such as certain financial services, medical products or controlled technologies), where the relevant user lacks such licences or authorisations.

Additionally, users may only use the "Others" category for products that (i) fall within the general B2B scope of the Globy Services, (ii) do not clearly fall under any other specific category made available on the platform, and (iii) are not subject to sector-specific licensing, product-safety, environmental, health, export/import, sanctions, age-restriction or similar regulatory regimes that typically require enhanced categorisation, documentation or approvals. Where the platform provides a specific category that more accurately reflects the nature of a product, the Supplier must use that category and provide all information and documentation required for such products under applicable law and Globy's policies. Globy may, at its sole discretion and without prior notice, review, reclassify, restrict the visibility of, suspend or remove any listing placed in the "Others" category, suspend or terminate the relevant account and, where appropriate, report suspected illegal, misleading or non-compliant activity to competent authorities. Nothing in this Section imposes on Globy any obligation to monitor or proactively review listings, and the Supplier remains solely responsible for correct product classification and full regulatory compliance.

12.3. User responsibility for compliance.

Each user is solely and entirely responsible for:

  • Determining whether any goods or services that it lists, offers, purchases, ships or otherwise transacts in via the Globy Services are lawful, compliant, permitted, properly licensed and correctly classified (including customs, export control and sanctions classifications) in all relevant jurisdictions; and
  • Obtaining and maintaining all licences, permits, registrations, consents and approvals that may be required for the manufacture, export, import, transit, sale, purchase, shipment, storage or use of such goods or services.

Globy does not provide legal, regulatory, customs, tax, export control or sanctions advice and does not assume any responsibility for a user's failure to comply with any such requirements. Any guidance, tools or information provided by Globy are of a general nature only and must not be relied upon as a substitute for independent professional advice.

12.4. Enforcement and cooperation.

Globy may, at any time and without prior notice, at its sole discretion:

  • Remove or refuse to publish any listing, content or information that Globy reasonably believes may relate to Prohibited or Restricted Goods or to a prohibited activity under this Section 12.
  • Block, suspend, restrict or terminate access to the Globy Services for any user that Globy reasonably believes is engaged in or associated with Prohibited Activities, Prohibited or Restricted Goods or any illegal or non-compliant conduct; and
  • Report any suspected unlawful activity, including suspected violations relating to customs, export control, sanctions, product safety, IP infringement or fraud, to competent authorities and disclose to them any relevant information or data to the extent permitted or required by law.

Globy's decision not to act in respect of any particular listing, user or transaction shall not be deemed a waiver of its rights under these Terms and shall not constitute any assumption of responsibility or liability for such listing, user or transaction.

13. INTELLECTUAL PROPERTY RIGHTS AND LICENSE

All content on the Globy website, including, without limitation, names, logos, trademarks, images, text, columns, graphics, videos, photographs, illustrations, software, and other items are protected by copyrights, trademarks, and/or other intellectual property rights owned and controlled by Globy or by third parties who have licensed or provided their material to the website. For the purposes of these Terms, "Licensed Software" means any proprietary software, applications, tools, algorithms, interfaces, APIs, dashboards and related documentation that are made available as part of the Globy Services and that are either (i) owned by Globy; or (ii) licensed or otherwise provided to Globy by one or more third-party licensors with rights for Globy to make such software available to users.

Except for user content (as defined in Section 2.2 of this Terms), and subject to any underlying rights of third-party licensors in the Licensed Software, all right, title and interest in and to the Globy Services, the Globy content and the Licensed Software, including all associated intellectual property rights and all rights derived from licences granted to Globy by third parties, are and shall remain the property of Globy or its licensors. Nothing in these Terms transfers or assigns any such rights to you, and your rights to use any Licensed Software are strictly limited to the licence granted in these Terms or in any separate licence agreement you may enter into with Globy.

You acknowledge and agree that all materials on the Globy Services are made available for limited, non-commercial, personal use only. Except as specifically provided herein, no material may be copied, reproduced, republished, sold, downloaded, posted, transmitted, or distributed in any way, or otherwise used for any purpose, by any person or entity, without Globy or the licensor's prior express written permission. You may not add, delete, distort, or otherwise modify any material. Any unauthorized attempt to modify any material, to defeat or circumvent any security features, or to utilize the Globy Services or any part of the material for any purpose other than its intended purposes is strictly prohibited.

Subject to your continued compliance with these Terms and any additional licence terms communicated by Globy in relation to specific Licensed Software, Globy grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to access and use the Globy Services, the Globy content and the Licensed Software solely for your own internal B2B purposes in order to search, view and manage listings, RFQs, messages, logistics tools and other features made available to you via the platform.

This licence does not include any right to:

  • (a) commercially exploit, resell or redistribute the Globy Services, the Globy content or the Licensed Software (or any portion thereof);
  • (b) reproduce, publicly display, publicly perform or create derivative works based on the Globy Services, the Globy content or the Licensed Software, other than as strictly necessary to use the platform as intended; or
  • (c) access or use the source code or underlying databases, or to decompile, reverse engineer or attempt to extract the underlying ideas or algorithms of the Licensed Software, except as explicitly allowed in writing by Globy or as permitted by applicable mandatory law that cannot be contractually waived.

Where Globy makes Licensed Software available under rights it has obtained from third-party licensors, your use of such Licensed Software may be subject to additional licence terms, restrictions and open-source notices required by those licensors. Globy will make such terms available to you where applicable, and you agree to comply with them. In case of any conflict between such third-party terms and these Terms, the third-party terms shall prevail solely with respect to the relevant Licensed Software and to the minimum extent required by the relevant licensor.

14. COPYRIGHT INFRINGEMENT

Globy will respond to all inquiries, complaints, and claims regarding alleged infringement of copyright or other intellectual property rights for failure to comply with or violation of the provisions contained in the Digital Millennium Copyright Act (DMCA) and other applicable laws. Globy respects the intellectual property of others and expects users to do the same. It is Globy's policy, in appropriate circumstances and at its discretion, to disable or terminate the accounts of users who are repeat infringers. If you believe, in good faith, that any material provided on or in connection with the website infringes your copyright or other intellectual property right, please send us your copyright infringement request pursuant to Section 512 of the Digital Millennium Copyright Act (DMCA), via our contact information, with the following information:

  • Identification of the intellectual property right that is allegedly infringed. All relevant registration numbers or a statement regarding ownership of the work should be included.
  • The location of the infringing material in sufficient detail so that Globy can find it on the website.
  • Your name, address, telephone number, and email address.
  • A statement by you that you have a good faith belief that the use of the allegedly infringing material is not authorized by the copyright owner, or their agent, or by law.
  • A statement by you, made under penalty of perjury, that the information in your notification is accurate, and that you are the copyright owner or authorized to act on their behalf.
  • An electronic or physical signature of the copyright owner or of the person authorized to act on the copyright owner's behalf.

15. DISCLAIMER OF WARRANTIES

To the maximum extent permitted by applicable law, the entire Globy Services, including without limitation all content, tools, website, user interfaces and associated facilities are offered by Globy on an "as-is" and "as-available" basis, without any express or implied warranties of any kind. To the fullest extent permitted by law, Globy expressly disclaims all warranties, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Globy does not warrant that:

  • The Globy Services will be uninterrupted, timely, secure, or free from errors or viruses;
  • Any information, data, or content provided through the Globy Services including any listings, freight calculations, supplier details, contact details or other user-generated content is complete, accurate, current, reliable or suitable for your purposes;
  • The Globy Services will meet your specific requirements or expectations;
  • Any Supplier, Buyer will be legitimate, solvent, trustworthy, qualified, duly authorised, or will perform, fulfill or honor their obligations, promises or representations;
  • Any goods, cargo, shipments or items listed, advertised, requested or otherwise referenced on or through the Globy Services actually exist, are available, are as described, are of any particular quality, are safe, compliant or lawful, or that any user has good and marketable title or any rights to such goods or cargo;
  • Defects, errors or interruptions in the Globy Services will be corrected within any particular time frame, or at all;
  • Your use of the Globy Services will yield positive results; and
  • Any user has the title to the cargo/items listed on the website.

You acknowledge that Globy does not own, manufacture, store, take possession of, inspect, test, handle, ship or deliver any of the goods or cargo listed or transacted by Users through the Globy Services, does not act as a buyer, seller, broker, agent, importer, exporter, carrier or insurer with respect to such goods or cargo, and has no control over and does not assume any responsibility for the existence, quality, safety, legality, compliance, title or delivery of such goods or cargo.

By using the Globy Services, you acknowledge and accept that no additional warranties are made beyond what is explicitly stated here and these Terms. Any use of, or reliance on the Globy Services, any tools provided by Globy, or any content, listings, information or communications obtained through the Globy Services is at your own discretion and risk.

16. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Globy and its affiliates, officers, employees, agents, and licensors shall not be liable for any direct, indirect, incidental, consequential, special, or exemplary damages, including but not limited to damages for loss of profits, revenue, goodwill, data, or other intangible losses, arising out of or related to:

  • Your use or inability to use the Globy Services, including access to the website, tools, directories, calculators, the Events Calendar, Insights Content, or any of the features;
  • Any purchase, sale, shipment, storage, handling, use, non-delivery, misdelivery, damage, loss or other issue relating to any goods, cargo, shipments or items advertised, listed or referenced by users through the Globy Services;
  • Your purchase and use of any products advertised through the website;
  • Third-party interactions and transactions between you and another user;
  • Errors or inaccuracies in the content or information provided on our website, including Supplier listing, freight calculations, or Supplier details;
  • Interruptions, delays, or failures in the Globy Services, including technical errors, downtime, or maintenance-related disruptions;
  • Any discontinuance, modification, or suspension of any of the Globy Services;
  • Any unauthorized access to your information, including data breaches;
  • Any actions you take on the Globy Services, including offline transactions, use of our tools and software; and
  • Your failure to comply with any applicable laws, regulations, sanctions, export control rules, customs requirements, tax obligations or contractual obligations, or your use of the Globy Services in a manner that is prohibited by these Terms.

To the maximum extent permitted by applicable law, Globy's total cumulative liability for any claim arising from or related to the Globy Services is strictly limited to (i) the amount, if any, you paid directly to Globy for use of the specific service in the 12 months preceding the claim or (ii) a fixed sum of $100 (whichever is greater).

This limitation of liability applies regardless of the theory of liability, whether in contract, tort, negligence, strict liability, or otherwise, even if Globy has been advised of the possibility of such damages.

17. INDEMNIFICATION

By using the Globy Services, you agree to indemnify, defend, and hold harmless Globy, its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys fees) arising out of or related to:

  • Your use of the Globy Services, including any interactions, communications, or transactions you initiate or participate in through our website, whether online or offline.
  • Your breach of these Terms or any of our agreements and policies;
  • Any content, media, materials, or information you post, upload, or share on our website;
  • Any illegal or unauthorized actions you performed using your Globy account, including fraud, misuse of the platform, or violation of any applicable laws; and
  • Any disputes or claims arising between you and other users.

Globy reserves the right, at its own expense, to assume exclusive defense and control of any matter otherwise subject to indemnification by you. In such cases, you agree to cooperate fully with Globy's defense of the claim. This indemnification obligation survives your cessation of use of Globy and the termination of these Terms.

18. ELECTRONIC COMMUNICATIONS

By using the Globy Services, you consent to receive electronic communications from Globy, including emails, notifications through our platform, and messages related to your use of the website, tools, and services. These communications may include important information about your account, updates, promotional content, and other matters related to Globy's operations.

You agree that any electronic communication from Globy will satisfy any legal requirement that such communications be in writing. You also acknowledge that you are responsible for keeping your contact information, including your email address, up to date, to ensure you receive all necessary communications.

19. DISPUTES WITH OTHER USERS

Globy is not a party to any transactions, agreements, or disputes between users. In the event of a dispute between users, including but not limited to issues related to products, services, payments, or any other matters, the parties involved are solely responsible for resolving the dispute.

Globy encourages users to communicate directly and attempt to resolve any issues amicably. We do not intervene in or mediate disputes and are not liable for any claims, damages, or losses arising from disputes between users.

If you are involved in a dispute with another user, you agree to release Globy, its affiliates, and its representatives from any claims, demands, or damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such disputes.

20. DISPUTES WITH GLOBY

You acknowledge and agree that any dispute, claim, or controversy arising out of or relating to these Terms as well as to our privacy policy, whether for breach, termination, performance, interpretation, or validity, as well as any aspect of your use of our website, shall preferably be resolved by binding arbitration between you and Globy. However, the right of both parties to bring individual claims in a court of competent jurisdiction if they deem it necessary remains.

In the event of any dispute arising in connection with your use of the Globy Services, both parties agree to seek resolution through an arbitration process. This process will be conducted before a recognized and respected arbitration entity, selected by mutual agreement of both parties and following the applicable commercial arbitration rules.

In addition, the user agrees, to the extent permitted by applicable law, not to initiate, join, or participate in class action lawsuits associated with any claim, dispute, or controversy that may arise in connection with the use of the website. This commitment seeks to promote a more agile and personalized resolution of any conflict, favoring arbitration and individual legal actions over class actions.

20.1. Jury trial and small claims court

In the event that any claim must be resolved in a court of law rather than through arbitration, both parties agree to waive the right to a jury trial. In addition, both the user and Globy have the right to bring claims in competent courts to prevent infringement or misuse of intellectual property rights, including seeking temporary injunctive relief.

21. APPLICABLE LAW AND JURISDICTION

Although the Globy Services are available worldwide, these Terms shall be governed by and construed in accordance with the federal laws of the United States of America and, to the extent applicable, the laws of the State of Washington, in each case without regard to its conflict of laws principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the Globy Services shall be brought exclusively in the U.S. District Court for the Western District of Washington or, if such court lacks subject matter jurisdiction, in the state courts located in Clark County, Washington. Each party irrevocably submits to the personal jurisdiction and venue of such courts and waives any objection based on inconvenient forum or improper venue. This applies unless binding arbitration is agreed to in the applicable section.

22. CHANGES TO THE GLOBY SERVICES AND THESE TERMS

Globy has the right to modify, suspend, or discontinue any part of the Globy Services provided, including but not limited to features, functionality, or content, at any time and without notice. We are not liable for any changes, interruptions, or suspensions of the Globy Services.

Globy reserves the right to modify, update, or change these Terms at any time without prior notice. This may be due to changes to the Globy Services or any applicable laws. Any changes will be effective immediately upon posting the updated Terms on the website. Although we may notify you of changes via your email address, it is your responsibility to review these Terms periodically to be updated. Your continued use of the Globy Services after any changes to these Terms will constitute your acceptance of those changes.

The Events Calendar available on the Globy (including without limitation event pages, schedules, descriptions, venues, dates, times, prices, availability, access requirements, and other event-related information) is provided for informational purposes only. Event information is provided by users and/or collected from public sources (including via automated processes) and may be incomplete, inaccurate, outdated, or changed at any time. Globy does not organize, host, sponsor, manage, sell tickets for, or control any events listed in the Events Calendar, and does not guarantee that any event will take place as described (or at all). Any interaction with an event, including registrations, bookings, ticket purchases, attendance, refunds or other engagement, is solely between you and the relevant organizer and/or provider (including ticketing platforms) and is subject to their terms and policies. Globy may remove, correct, suspend, or modify event listings at any time, but is not obligated to do so. You should verify key event details directly with the organizer before making any arrangements. To the maximum extent permitted by applicable law, Globy disclaims all liability arising out of or related to the Events Calendar and any reliance on it, including any changes, postponements, cancellations, access conditions, safety measures, venue rules, event content, or any decisions or arrangements you make based on such information.

Users may submit event information to Globy for publication in the Events Calendar. Globy may review, edit, moderate, or decline such submissions in its sole discretion; however, any review is performed solely for Globy's internal purposes and does not constitute verification, endorsement, or a guarantee of the event's authenticity, accuracy, legality, safety, or compliance. Globy also does not guarantee any level of visibility, impressions, views, clicks, traffic, referrals, registrations, attendance, turnout, participant numbers, or any outcomes or business results associated with an event.

Insights Content. The Globy website may include a blog and other informational sections (the "Insights Content"). 24. FINAL PROVISIONS

24.1 Your use of the Globy Services is conditional upon acceptance of and compliance with these Terms. This authorization to use the Globy Services does not extend to jurisdictions where these provisions are not respected or applied.

24.2 In the event that any provision of these Terms is declared invalid, illegal, or unenforceable by a court or competent authority, such decision shall not affect the validity or enforceability of the remaining provisions.

24.3 Our failure or delay in enforcing any of these Terms at any time shall not constitute a waiver of our rights to enforce such provision, or any other provision, in the future.

24.4 You agree that no joint venture, partnership, employment, or agency relationship exists between you and Globy as a result of these Terms or your use of the Globy Services.

24.5 These Terms together with our privacy policy and any other legal notices published by Globy shall constitute the entire agreement between you and Globy concerning and govern your use of the website and the Globy Services.

24.6 Globy shall not be liable for any failure or non-performance of the Globy Services due to causes beyond its reasonable control, including but not limited to acts of civil authorities, acts of military authorities, riots, acts of nature and natural disasters, and other acts which may be due to unforeseen circumstances and which may prevent the performance of the Globy Services.
